California's Legal Weed Is So Heavily Taxed and Regulated That the Black Market Might Survive - Duration: 10:58.

As of January 2018, anyone over the age of 21 can walk into a store in California

and pick up some marijuana.

All you need is some cash or a credit card.

To learn more about how legalized recreational cannabis sales work

we tracked a product up the supply chain from seed to sale.

And we talked to cannabis entrepreneurs along the way to find out what's changed for them

operating in a legal state market.

And what we found was surprising

excitement, yes, but also anxiety about the future of the legal market

under California's highly regulated and highly taxed system.

And industry insiders told us that if the legal market remains so overtaxed and overregulated

the black market will continue to stay in business.

The story ends with the sale of the Kiva bar,

the product of a company run by a husband and wife team

who began working out of their Oakland kitchen.

But let's start at the beginning about 100 miles away at Riverview Farms

which two years ago converted from poinsettias to pot.

It's been a family owned business for 20 years

with daughter Michelle Hackett currently serving as president.

This is the agricultural capitol of the world,

fresh vegetables come out of this growing region,

we also have great pinot noir grapes coming out of this region.

There's no reason why cannabis shouldn't be cultivated here.

Hackett is excited for the future of the market,

but under immense pressure from the increased regulation and taxation

that kicked in at the beginning of the year.

Riverview holds 16 different cultivation licenses to grow this amount of cannabis

as well as 2 distribution licenses to transport medical and recreational cannabis

to retailers and manufacturers.

They pay a harvest tax of $9.25

per dry weight ounce of cannabis flower that enters the commercial market.

Hackett says that compliance costs have driven up prices across the state.

I think it's greed.

People are looking for a handout and are thinking that

we're weed people, we must be making all this money,

but really we're running this like a farm,

or another agricultural operation in the same community wanting to be treated the same.

The greenhouses here hold plants at all stages of development

culminating in mature plants ready for harvest every 2 to 4 weeks.

Then workers hang the cannabis to dry before it's ready to be cut and sent to market.

But Hackett says that while business was booming in the era of medical cannabis legalization

strict licensure requirements have shrunk her customer base significantly

since recreational legalization went into effect.

We have to protect our license

so the only business we want to do is with other licensed retailers, distributors, delivery services.

In the past you had a customer list of, say, maybe 300,

right now maybe you're working with 50.

It's the green boom and people are wanting to jump on the bandwagon

and see if they can profit from this industry

but I think what people will realize is that it takes a lot of work.

Our next stop is Kiva's manufacturing facility in Oakland

a chocolate factory with one extra ingredient.

People want a product they can trust and rely on

and so in the sort of gray market of California we were really able to stand out

by producing something that was clean and consistent every single time.

Edible marijuana has provoked media stories of hospitalizations and meltdowns

with New York Times columnist Maureen Dowd

once penning a column about the time she ate cannabis infused chocolate

and freaked out in a Colorado hotel room shortly after legalization.

But Kiva bars are hand packaged into distinctive wrappers

that foreground the psychoactive THC content in big bold numbers

so that users know exactly how much they're consuming with each bite.

The packaging and labelling on Kiva products is extremely important.

We treat every package essentially like a billboard.

The education process around cannabis and consumers learning dosing is gonna take a while

until people have the same familiarity with cannabis dosing

as they do with alcohol for example.

Knoblich Palmer says that although the customer base for marijuana

has increased tenfold since recreational legalization

that the increased taxes and regulation have forced the company to make layoffs in recent months.

The situation in the market right now is pretty dire.

Right now there's a few hundred licenses in 2017 there were maybe 20 to 30 thousand operators

so we've seen a significant drop in the number of people allowed to operate in the market.

Taxes are a big component of the new market

there are essentially four times that the cannabis is taxed.

It's surprising that with the legal market in California

that companies are experiencing less volume and less demand

and that has everything to do with the cost of cannabis,

the price of cannabis to the end consumer.

Our company has unfortunately had to do a layoff for the first time in our company's history.

We were all really excited and kind of promised a really healthy, robust cannabis marketplace.

We're all sort of hanging on for our lives.

Noblich Palmer says she's still optimistic about the future of the industry,

but that some major reforms still need to happen

in order for a legal market to outcompete the black market.

The end consumer is walking into a regulated store

and seeing prices up here

and then they're walking into an unregulated store,

or they're calling their guy and they're seeing prices down here.

So the unregulated market really has the potential to derail the entire system

because it's undercutting all the legal operators at every opportunity.

Our next stop is at PharmLabs, a testing facility in Long Beach.

Before legal weed makes it to market in California

the new law requires testing for purity and potency.

Often several times if the cannabis is part of a manufactured product.

It's one of many cannabis labs that existed long before the state required testing

since many companies, such as Kiva,

underwent voluntary testing as a way to set their products apart from the competition.

The states don't have enough resources to provide testing services.

I think we're really filling in a gap, these labs that have been here from the beginning.

Dr. Robert Brodnick is the research director at this lab

and has a background in counternarcotics at the Department of Defense.

He says his mind changed when he saw that cannabis

could be a less harmful alternative to other drugs.

Cannabis is a potential way to mitigate or offset some of the dangers of opioid abuse.

This view is in stark contrast to that of Attorney General Jeff Sessions

who buys into the marijuana as gateway drug argument.

Heroin addiction starts with prescriptions.

We think a lot of this is starting with marijuana and other drugs too.

Studies are still limited,

but preliminary data do show that states with legal marijuana

tend to have lower rates of opioid addiction and overdose deaths.

And while testing should make cannabis products even safer for consumers,

Magdoff worries that California's testing standards are a little too stringent.

I think it's gonna be a rough start for California

with the amount of products that are gonna fail.

The pesticide thresholds are very stringent here.

Cannabis is the most tested agricultural commodity at this point.

For California cannabis industry to be successful

there needs to be kind of a middle ground.

The final destination is, of course, the storefront.

Known for years and years in California as the dispensary.

We visited A Green Alternative in San Diego

just minutes from the border and, ironically,

down the road from the Drug Enforcement Administration offices.

The store counts Kiva as one of its top sellers

and owner Zachary Lazarus says he's seen a definite spike in sales

post recreational legalization.

The difference between operating medicinally versus recreationally

is you have a plethora of people that have come out of the woodwork,

have come out of the closet, that are so happy to be able to consume cannabis for the first time

or to re look at it since their college or high school days.

But, like the other business owners we spoke with,

he says that regulations are still too tight, taxes too high,

and worries that local governments are too involved

in picking winners and losers in the market with the licensing system.

It seems like there's a lot of barriers to entry right now

but that doesn't have to be that way.

Yes we need strict compliance and we need accountability

but we also need to give all those mom and pop shop owners an opportunity

a chance to give back with taxation, a chance to grow jobs

and a chance to really contribute to the cannabis community.

And like everyone in the cannabis industry,

Lazarus still lives under the dark cloud of federal prohibition.

Stores like his still have trouble even opening bank accounts.

We don't have a fair shake when it comes to being able to transact

and do it above board like everybody else.

Issues with the banking system and fear of federal crackdowns

were a consistent theme every step of the way.

It's scary, I'm not gonna lie, it's a huge issue for us in terms of banking.

Having us federally legal would take a huge, you know, weight off my shoulder.

Cannabis being illegal at the federal level

is certainly a challenge that the industry thinks about on a daily basis.

It's a natural governor of the growth potential of the industry.

The words coming out of Jeff Sessions' mouth, to me,

is like the words coming out of Anslinger's mouth back in the 1930s.

You have a lot of criticism and you have a lot of ignorance

that really doesn't understand an industry.

When you don't understand something you tend to criticize it.

But despite lingering uncertainty, everyone along the supply chain remained optimistic

that there will be regulatory reforms in California

and eventual legalization nationwide.

The cat's out of the bag.

More people in this country live in a state with some type of cannabis regulation now

so I really feel there's no going back.

It's not going away, so they might as well regulate it and capitalize on the tax money.

The whole state really wants this

with 37 and a half million people in our state you really can't go backwards

I mean, that's just reality.

California's going to recreational market is a huge win for the industry

for the cannabis plant overall.

It will really help cannabis become more mainstream, allow more people to have access to it

and really further the movement in a way that we probably have never seen before.

the head of that so-called sanctuary state today by tweeting about Democratic

campus reform dot org good of you both to join us today so let's get right down

and drill down through the facts of this it now appears that California for all

intents and purposes is falling into a statewide civil war of words if you will

over how to handle this sanctuary status law Orange County officials I've just

stated have voted to join the Trump administration lawsuit against the

state's sanctuary city laws that while California's Attorney General Xavier

Becerra says he may take legal action against so state officials and even the

sheriff if they go against the state law how does this strike both of you

Lawrence I'll begin with you actually let me start with the lady first I'll

begin with you explain to me what your reaction is to this well first I'm good

to be with you Kelly thank you and glad to be back with my friend Lawrence I

just think this is not the first time that Orange County has been on the wrong

side of history this is the birthplace of Proposition 8 on what they consider

to be traditional marriage this is also the birthplace of Citizens United which

as you both know went all the way to the Supreme Court which noted that that

corporations could be people so this is a county that would rather treat

corporations like people rather than actual people Orange County represents a

small faction of California there only I think 3 million people in Orange County

California has nearly 40 million people in the state and so if we want to talk

about state rights and doing something well for the state these undocumented

immigrants in California contributes 180 billion dollar workforce and it's

not just agriculture this is childcare this is health care so to have put a

strain on local law enforcement and have them act under the guise of federal

immigration enforcement officials is ridiculous and goes against everything

that can make this a viable state instead of having this I think it's kind

of overstated to say it's a civil war to fit into that thought I'm sure Lawrence

has something else to say about that Lawrence go ahead first of all we're not

talking about all illegals Tiffany we're talking about the

criminals and all Orange County wants to do is notify ice they're not trying to

get involved in the process they just want to notify them when the criminals

are there especially when you have California that has allowed some of

their judges that allow criminals outside of the back door when ice

officials are waiting outside to arrest criminals we're not talking about all

illegal immigrants even though they are in fact breaking the laws and so they

can be arrested Orange County is just trying to protect the citizens and I

think the Democrats in California are part of this whole national conversation

that Democrats are now trying to run on immigration which I don't understand why

they would shut down the government over immigration so why they were run on this

policy when a lot of these people can't even vote Lawrence let me get in here

real quickly Tiffany think about this and Lawrence

talk about this as well because adding to this problem you have California

Governor Jerry Brown who just pardoned getting too large this point if any to

immigrants set for deportation one of them was actually facing a felony

weapons charge and then President Trump in response tweeted his frustration with

Governor Brown tweeting this governor jury moonbeam Brown pardoned five

criminal illegal aliens whose crimes include kidnapping robbery badly beating

wife and threatening a crime with intent to terrorize dealing drugs

is this really what the great people of California want and then he tweeted a

second time earlier in the week he tweeted this my administration stands in

solidarity brave citizens in Orange County defending their rights against

California's illegal and unconstitutional sanctuary policies

California's sanctuary laws released known dangerous criminals into

communities across the state all citizens have the right to be protected

by federal law and strong borders so Tiffany when you look at it from that

perspective is large this point is he is he right in

saying let's go after the illegal immigrants who are committing crimes

against the people of Orange County in California well you'll have to forgive

me if I don't take the Presidents Twitter account as a reliable source for

I have an exam in each of those cases obviously but I think obviously we want

to protect all people we want to make sure that nobody's subject to any

violent crimes but as both of you gentlemen well know the lines get really

blurry on who law enforcement considers a criminal and we have already seen

evidence cases of people showing up under the guise of looking for a

criminal and ending up detaining indefinitely pardoned a criminal that

was a violent offender when it comes to a weapon charge charge this is a

governor its anti-gun already and one's gun control why would you release this

guy when this is a guy breaking the law when it comes to a weapons charge it

just doesn't make sense well again I have not looked at the

specific details of the five cases that the president referenced on his Twitter

account but I hardly think that this one person should represent the over 10

million hard-working undocumented immigrants in California so if you're

sick I think it still comes down to an issue of straining local law enforcement

who should be focused on the issues of California and protecting a community

that contributes over ten 180 billion dollars to the work force

criminal immigrants who were in line for deportation they did serve their full

sentences but were convicted of some serious crimes this makes them this

makes deporting them a lot less likely so here with his reaction Jamil Shaw who

what's happened to your son and and it's horrible and it's happened way too often

about Americans you know he just wants to get back at Trump you know and he's

gonna put us all in danger just for a personal vendetta he had with

the president if he he was voted for everybody I mean I didn't vote for him

but he's still supposed to take care of American citizens especially California

but he loves illegal aliens you know Becerra Kamala Harris all of them they

just love illegal aliens and they're willing to put Americans in danger just

for some votes so if you live in a sanctuary state and you're there in

California and you commit a crime and you serve that sentence you get out of

jail if you're a police officer you don't have to let ice know about it

right so you can just continue living your life where in other places you far

more likely be caught yeah you know it's been going on forever people think this

is up to new ten years ago when my son was murdered they did the same thing he

was on his third gun charge instead of them calling ice they just let him out

into the city and the same day he got out they're still killing you know

they're all used to the system they know the system is is is skewed in their

favor and illegal aliens just have the state to themself they do whatever they

he was shot to death in March to March the second 2008 by an illegal alien on

his third gun charge in the gang database you know he was arrested for

assault with a deadly weapon battery on a peace officer

they gave him eight months in the county jail let him out four months early in

the same day he got out he was killing somebody because they know no one cares

about the Americans you know illegal this is their state and they think it

digging it took less than about ten seconds to find a news story from this

October about how Governor Brown was patting himself on the back for signing

yes three new gun control bills into law and governor Browns all about gun

control unless he wants to try to stick it to the president and put an immigrant

convicted of a gun crime back on the streets what in the world's going on

here I mean there's really no explanation for it I mean these are

convicted criminals these are people this is not the you know lady who

crosses the border who's just trying to help her family these are people that

are here illegally committed a crime got caught convicted and now we're trying to

deport them the president's trying to do the right thing and you have people like

government Governor Brown getting in the way of doing this during the Obama

administration more than 80,000 times this happened they were in our control

he released them back out of the public and guess what they committed hundreds

of more crimes and people died at the hands of these types of people there's

no reason why these people should continue to stay and have the privilege

of being in the United States they're here illegally to start with congressman

you make an important point because we know what happened in the case of Kate

Steinle where someone who had been convicted of

several crimes was out on the streets in San Francisco here's what the president

recently said about that

unfortunately Democrats in Congress not only oppose our efforts to stop illegal

immigration and crack down on sanctuary cities every senator and congressman

will have to make a choice do they want to protect American citizens or do they

want to protect criminal aliens it looks like the governor in this case

is trying to protect criminal aliens well that's the point even when we talk

to Democrats like luis Gutierrez and some of these who put this issue at the

top of their agenda they have at least in the past said well okay the criminal

aliens yet let's focus on them and the president I think is trying to do the

right thing let's deport those people that are here illegally and they're

committing crimes they've been before a judge

they've got caught doing a crime they've done some time for that now it's time

for them to leave the country and never ever come back why do we put up with

this and now you have governors who aren't cooperating and it's so

demoralizing to our good people who work in ice and the Border Patrol I mean they

put their lives on the line to save us and protect us and then you get somebody

who commits a crime is involved in a gang allegedly right and now they want

to be able to keep them there in galifianakis we make an important point

and on top of that in this case even if the governor pardons you for state

crimes that doesn't prevent the federal government and ice from going out and

actually getting you and deporting you right that's right in between Homeland

Security and the Department of Justice but a lot of this is on Homeland

Security they have got to be able to go and gret they don't need a governor's

permission in order to deport somebody if they can get them in their control

but again you have too many sanctuary states and counties and cities that

don't want to cooperate with federal law enforcement they want all of our

American money right they want that federal taxpayer dollars to go to them

but they don't want to actually deport these people and they say this is the

criminal element I don't see any argument to keep these people in town

cars really don't last question the Daily Mail did an investigation that

they just published today over the holidays talking about hundreds of

people in cities like Santa Monica Santa Barbara cities all across California

where you have teachers firefighters middle-class workers who are homeless

because they cannot afford the rent in California they're living out of their

cars in Walmart parking lots and elsewhere so my question to you is

doesn't the Governor of California Jerry Brown have some more important things to

deal with right now than pardoning criminals I see this regularly with the

Democrats they prioritize those people that aren't here illegally and they're

committing crimes and you're right they got good people trying to do good things

they've run into trouble in their lives there's a homeless

this problem in in in a whole slew of states including Utah and in California

and instead of the focus being on that they're trying to protect the criminal

aliens I and how could you ever look a family in the eye if one of these people

goes back and does something in harms an American how do you look them in the eye

and say yeah I as Governor Brown made sure that they got to stay here and

commit another car with more thick it with these four governors considering

these pardons I suspect this is not the last we've heard of this congressman

started right now and the first part of my

presentation is going to be my narrative.

I'm telling you my story for lots of reasons, one

of them is that I want you to know that.

I come from real struggles, and um I want

you to know I was able to do it even though I was

pretty far down.

Christina: MONICA PERALES HAS ONE SHOT TO TRY TO

Monica: We're there for more than just saying

things like "You need to do well."

Uh we're there to show them that it is possible.

Monica: And I was still able to go to college

and it was hard.

I can't stress that enough, but it was

so worth it.

Because now I get to say that I was the first one

in my family to graduate, I get to say I'm the first

one in my family to go to college.

And that is, I'm just so proud of myself for that.

Christina: MONICA IS A UNIVERSITY OF CALIFORNIA

MERCED STUDENT WHO HOPES HER PERSONAL STORY WILL

INSPIRE THE YOUNG AUDIENCE TO STAY IN SCHOOL.

Monica: If they know we care maybe then they would

start to think that they are worth it.

That they are capable of doing things that maybe

they didn't think they were before.

Christina: TEAMS OF UC MERCED COLLEGE STUDENTS

ARE DEPLOYED TO JUNIOR HIGHS THROUGHOUT

MERCED COUNTY.

Steve: Middle school students are making key

decisions about who they are.

And it's a critical time for them to understand

that they can achieve more and aspire to more than

perhaps they thought they could.

Christina: PROJECT TEN PERCENT WAS INSPIRED

BY A STUDY THAT FOUND IF HIGH SCHOOL GRADUATION

RATES INCREASED BY 10 PERCENTAGE POINTS, THEN

CALIFORNIA COULD AVOID FOUR HUNDRED HOMICIDES

AND 20 THOUSAND AGGRAVATED ASSAULTS.

Steve: That degree is is more than just a

rite of passage for students.

It really is the passport to a job, to college, to a

productive life.

Monica: Maybe money is an issue but I want you to

know it's possible and I'm proof of that.

Vernette: The students that are involved in

Merced County Project 10% have very similar

backgrounds to the children that are sitting

in the classrooms.

Monica: My father went to prison at end

of eighth grade which meant a lot

was lifted off my shoulders.

The abuse and all the stuff he brought in my

house was gone.

And when he came back things got even

more intense.

Stacey: I feel like she can relate to what I'm

relating to, so it means more than just an adult

just saying it.

Christina: EIGHTH GRADER, STACEY, WAS PARTICULARLY

TOUCHED BY MONICA'S STORY

Stacey: ... She didn't get much attention

like when she's at home and her parents

didn't really help her with anything like they

didn't know much 'cause they didn't

go to college.

And same with mine.

And so, it was really helpful to like hear like

how she made it through.

And I have a chance and I will go through.

Vernette: They're not going to change the life

of everybody sitting in that classroom, but they

are touching the one that really needs it.

Devonyo: How do you practice?

Student: Study Devonyo: You study!

How else?

Devonyo: It's for those few that you can reach and

truly impact that we do it for.

Devonyo: When you're in here in this classroom

I always say your education is the way you

feed your brain.

Christina: DEVONYO BILLS WAS ONE OF THE FIRST

UC MERCED STUDENTS TO JOIN THE PROGRAM

WHEN IT LAUNCHED IN 2011.

HE HAS SINCE GRADUATED FROM UC MERCED BUT

CONTINUES TO BE INVOLVED WITH THE PROGRAM.

Devonyo: I understand what they're going through and

it was a very pivotal time for me, so I try my best

to advocate and pay it forward because had I not

had that mentor there's no telling where

I'd be at today.

Devonyo: And every Single Choice has....

Christina: SO ARE THESE COLLEGE KIDS

MAKING A DIFFERENCE?

IT APPEARS SO.

MERCED COUNTY HAS CUT THEIR HOMICIDE RATE IN

HALF AND THEIR HIGH SCHOOL GRADUATION RATE

CONTINUES TO CLIMB.

Steve: When we started the program, it was at 88%.

And so, we're looking at hopefully getting to a

graduation rate of 98%.

this past year, it was at 93.6%.

So, we've already made a 50% growth gain on that

goal, so we're excited about that.

Devonyo: I just can't describe it.

It's just so so powerful umm just to know that

one speech could do that

(students reading cards).

(students reading cards).

Vernette: They not only I think feel like they're

positively impacting their 8th grade students that

they talk with, but I think they begin to see

a change in themselves.

Monica: It's definitely something that I didn't

think would have such an impact on me.

But it has proved to be the most amazing

experience of my life.

Narr: A group of law enforcement leaders called

"Fight Crime, Invest in Kids" conducted the study

that inspired Project 10%.

The group also suggests that America could take

the same amount of money spent to jail criminals

for one year, and invest it in quality preschools

for ten years.

They say that investment alone would produce more

than 2 million additional high school graduates.

SUV's plunge off cliff that killed California family may have been intentional act: Police

The crash which claimed the lives of a family of eight in California last week may not have been an accident, according to the California Highway Patrol.

The entire Hart family is presumed dead after its SUV plunged off a cliff March 26 on the Pacific Coast Highway.

According to the CHP, which said in a conference call with reporters Sunday it had completed its initial review of the crash, software pulled from the SUV shows it was stopped at a pull-off spot on the side of the highway before accelerating straight ahead off the cliff.

No skid marks were found on the road at the spot it plunged over the edge and police said the brakes were never applied after leaving the gravel pull-out spot.

Preliminary investigation indicates to us that this incident might have been an intentional act and not the result of a traffic collision, Acting Assistant Chief for the CHP Greg Baarts said.

Baarts said the speedometer in the car was pinned at 90 mph when they recovered it at the bottom of the cliff near Mendocino, California.

The most-likely cause for that reading is the shock from the impact, Baarts said. So whenever a vehicle slams into something its fairly common the speedometer will lock at a certain speed.

But you cannot use that information [except] for a base, just for the speed of the vehicle. There are several other factors that need to be considered..

Jennifer Hart and Sarah Hart, a married couple who adopted six children, were both found dead at the vehicle along with three of the children: Markis Hart, 19, and Jeremiah and Abigail Hart, both 14.

Devonte Hart, 15, Hannah Hart, 16, and Sierra Hart, 12, are still missing, but officials presume they were also killed in the accident.

Were going under the assumption at this point that Devonte, Hannah and Sierra were in the vehicle, but we dont have 100 percent information, Capt. Greg Van Patten from the Mendocino County Sheriffs Office said.

Van Patten said the area where the SUV crashed has been difficult to search, with unpredictable tides and murky waters making divers unable to go in the ocean.

An image of Devonte Hart garnered national attention in 2014 when a photographer snapped a photo of him hugging a police officer with tears streaming down his face during a protest in Portland, Oregon, over the police killing of Michael Brown.

Since the accident, information has emerged that Jennifer and Sarah Hart, both 39, had been investigated over the treatment of their children.

A 2010 complaint filed in Douglas County, Minnesota, revealed that Sarah Hart was charged with malicious punishment of a child and domestic assault after a 6-year-old child showed a teacher bruises on her stomach and back.

Court documents show that Sarah Hart was convicted on the domestic assault charge, but the charge of malicious punishment of a child was dropped.

In mid-March, Child Protective Services in Washington received a call about neglect and abuse by the Harts, spokeswoman Norah West said in a press conference March 29.

The agency attempted to make contact with the family in person on Friday, March 23 as well as last Monday and Tuesday, West said.

Alcohol and toxicology reports are expected to take four to six weeks to come back, Van Patten said. No suicide note has been found, police said.

CHP investigators have also acquired search warrants to look through the Harts cellphone and bank records for clues into why the crash might have been intentional.

Hi, I'm Greg. Welcome to Buying, Selling or Closing a Business. In this video we will

talk about what you need to know when buying selling or closing your business.

We'll also discuss what change of ownership is, and what to do if there's a

change of ownership of your business. First, let's discuss buying a business.

When buying a business or its inventory you should request a Certificate of Tax

Clearance from your nearest office before closing escrow. A tax clearance is

a document that will protect you from having to pay any sales or use tax owed

by the previous owner, as well as interest in penalties that may be owed.

To find your nearest office, visit our website. If you don't obtain a tax

clearance before you buy a business, and the previous owner has tax amounts

unpaid, you could be required to pay the tax liability as well as interest and

penalties of the previous owner. If the seller has an outstanding liability, you

are required to withhold the amount owed from the purchase price until you have

proof from the seller that the liability has been paid. For more information on

tax clearances, please see Publication 73, your California seller's permit. Remember

a seller's permit, license, or account, does not transfer with the business. When

buying a business, you may need to register for one or more of your own

permits, licenses, or accounts, using our online registration system. Now let's

discuss changes in your business. If you already have a business and you

want to add other locations, you must register each additional location for

the applicable permit license or account. To do so, use our online registration

system. Be sure to notify us about business changes to all of your permits,

licenses, and accounts. Registering each location properly will help ensure you

accurately report and pay your taxes or fees. If you have a change in ownership

or business entity type, you generally will need to close out your permit

license or account, and register the new business. The most common types of

business entities are: sole proprietorship, partnership, corporation,

and limited liability company. For example if you're currently operating as

a sole proprietor, and decide to incorporate your business, you will need

to close your existing seller's permit and register online for a new seller's

permit for your corporation. You will need to do this for all other licenses

and accounts registered with the CDTFA as well. If you are operating as a

partnership, you'll need to contact the CDTFA whenever a partner is added or

dropped. Changing the partner in a partnership does not necessarily require

you to close your permit and open a new one. However, if there is a change in

entity type, you will need to close out your permit and register as a new

business. For example, let's say you and your spouse registered as a partnership

and one of you withdraws from the ownership of the business; this is a

change in entity from a partnership to a sole proprietor and requires a new

registration for the business. A legal separation or divorce decree awarding

the business to one person, is not sufficient notice for the CDTFA. Now

let's talk about selling or closing your business. When you intend to sell or

close your business, there are a few things you need to do. If you sell or

close your business, you need to close your seller's permit account and any

respective licenses or accounts. To do so, you need to complete and send a

copy of form CDTFA-65, Notice of Closeout, to your local office. If you have

additional CDTFA administered tax and fee permits, fill out CDTFA-345-SP,

Notice of Business Change. Closing your account will help protect you from

possible liabilities incurred by the person who buys your business. You can

find a copy of the forms in the Forms and Publications section of our website.

You must also file your final tax and fee returns, and make any final

payments on time. If you sell your business, remember to report any sales of

fixtures or equipment on your final return. Keep in mind, the reporting period

and due date of your final return may change, depending on the tax and fee

program, or the date you discontinue operations. You can find a listing of

filing due dates on our website. Or if you need help figuring out when

your final return is due, give us a call. Remember, your permit is valid only as

long as you are actively engaged in business as a seller. If you're no longer

conducting business as determined by your permit, license, or account with the

CDTFA, you should close out your accounts. Likewise, the CDTFA may cancel

your permit if it finds that you're no longer engaged in business as

appropriate to your permit or license type. If you need more information on how

to close out your account, please see Publication 74, Closing out your Account,

on our website. So, here are some things to remember when buying, selling, or

closing a business. Make sure you get a tax clearance if you're purchasing a business.

Make sure all of your business locations are registered and have the

correct types of permits, licenses, or accounts. When you close your business or

change ownership types, let us know. And if you're ever unsure, give us a call at 1-800-400-7115.

By taking these critical steps, you can avoid any penalties and interest and delays in your business operations.
