the moment so in other words do not get caught up in the current situation

Pokemon Origins- What is Cradily? - Duration: 3:03.

Yoo...its your boy Aegis back on that Pokemon *ISH.

So you remember a video I made.

It was about my Top 5 Favorite Fossil Pokemon and while this Pokemon didn't make the list.

I've always wondered just what the heck is Cradily?!

Is it a plant or animal.

Before anything maybe we can learn something from the Pokedex: Cradily's body serves as

an anchor, preventing it from being washed away in rough seas.

Hmmm...I still have no clue if its a plant or animal!

Okay then maybe its origins will explain things to me.

Searching deep on the net I found out that Cradily was indeed an animal, but a very bizarre

one.

They are Crinoids.

Strange beings that fasten their lanky bodies to the sea floor by way of their plant-like

stalks.

Curiously the species that keep their stalks are called sea lilies.

The rest lose their stalks as they mature and can swim and float, attaching themselves

with a set of small legs.

These sea lily creatures flourished millions of years ago.

They were abundant, many leaving behind thick limestone beds.

Until the discovery of living ones, they were thought to be extinct.

Alright that does answer the question to why Cradily is a fossil Pokemon.

They thought they were dead.

We now know why Cradily is extinct.

Maybe we can learn more by referring to the Pokedex.

Okay: It ensnares prey with its eight tentacles.

Secreting a strong digestive fluid from these tentacles, it then melts the prey with a strong

acid before feeding.

Oh my god that's gross.

Getting back to the crinoids what really sets them apart from their relatives are their

incredibly feathery appendages.

The creatures also possess tiny tube feet along their frilly arms, used to capture suspended

particles of plankton.

Yo that looks so much like Cradily its freaking insane.

That's crazy they are basically flowers that came to life in the sea, but they are totally

animals!

And here I always thought Cradily was a barnacle or something?

You never know until you look.

Oh well!

Its your boy Aegis back on that Pokemon *ISH.

And until next time! peace!

What Is A Entrepreneur? (Why they Don't Think Outside The Box ) - Duration: 5:13.

- [Narrator] Now we have a large group

of people here, right?

And I'd say we're all entrepreneurs.

You guys view yourself as entrepreneurs being here?

Right, alright, great, whoo!

Right?

We're all out-of-the-box thinkers, right?

You guys out-of-the-box thinkers?

Yeah, of course, you should all say, "Yes."

If you're here at this event,

you are an out-of-the-box thinker.

'Cause if you weren't you'd be at your job right now.

Right, grinding away.

So, this box, right.

So there's two things I used to talk about:

entrepreneurship and out of the box.

Now those are two terms I see used a lot.

I think they're misunderstood a little bit.

I see a lot of memes for entrepreneur

and it's oh, I'm watching earnings,

you do this or you do that, right.

And I have my own view of both these things, right.

And they might not be the same as other things you've heard.

Again, they're just my view.

And so I'm gonna talk about them a lil' bit in depth.

The first thing I'm gonna talk about

is I'm gonna talk about the box.

This box is a dream killer.

This box is a entrepreneur crusher, right.

Well, where'd this box come from?

And how did we get in it?

So I have something that I came up with and again,

this is not scientific data.

This is something that I thought of.

So the box is, here's what it is,

is what happens as soon as you can walk, talk,

eat, and go to the bathroom by yourself.

What happens to you?

Right!

They send you to school!

Right, domesticate you, exactly.

So, what happens when you go to school, right?

What happens the first day you go to school,

what do they do?

Now I'm gonna tell you what they do.

The first thing they do, they pull this box out, right.

And they say, "Get in the box."

So you're in school. (laughing)

Alright, they tell you,

they tell you to get in this box, right?

So they say, okay, listen, if you get in this box

and you can follow all the directions,

or if you can memorize real good,

right, if you can follow exactly what we say,

and do it just the way we say it,

boy, you're gonna be a success right.

Is that true?

Like in school, and again, I know a lot of people

have kids and this is the way I see it and my viewpoint.

But a lot of times the kids who do really good

in school are real good at memorizing.

You know, they're real good at certain photographic things.

So we go through school then what happens

is we go to college.

We're still in the box, right.

We're still on that box and then what happens after college?

Well we get a job.

Right, we get a job.

And what happens?

Well, the job it's almost like school, right.

We get up at early, and we get to work

at eight, nine o'clock.

We got a break at 10:15, then we got a lunch break, right.

Then we go home at six o'clock.

There's our life, right, still in the box,

still following tasks, still doing what we're told,

so we can get a paycheck.

Now what we doing this for?

Well it's not all bad, right?

'Cause if you got a good job, you get two weeks off a year!

Whoa, so for those two weeks, you get to fulfill

all your hopes, dreams, goals,

everything that you were gonna do, in those two weeks.

You know, sounds like a good deal to me.

So then what happens?

In our job, what are we wanting to do, right?

Like, what's the angle of the job, right?

Like, what's the angle, right?

What are we saving for, right?

What are we looking forward to?

Retirement, right!

We're building our whole life,

the box told us, listen, do all this stuff

so when you retire you can have an amazing life.

What happens when we retire?

How many people you know retire?

I was just talking to Suzanne McDonald,

the other day and saying,

there's people are retiring,

you're two days later, they're dead.

So they did what the box said

and now they're in a box in the ground.

But anyway, so you retire, and if we're going by months

and I'm not saying 70, you know you could say 80 but,

now how many months do you have left?

'Cause they tell you if you stayed

in that box your whole life, I don't care how many months

you have left, you're not doing anything.

See that box, what we have to do

is we gotta get rid of that box.

We're gonna burn that box

so that box doesn't even exist.

(crowd cheering) Yeah, burn that box.

(applause) Let's go back there.

You like that right?

The Truth About Lending - What is a Prequalification Letter? - Duration: 0:36.

Hi, I'm Melinda Payan, owner of The Truth About Lending a licensed mortgage company,

and here's today's mortgage truth of the week.

What is a prequalification or preapproval letter?

Usually a realtor will ask you for this prior to you going out with them to see houses.

This means that you've applied for a mortgage and have already passed the initial requirements

to be considered prequalified for a mortgage.

The Truth About Lending - What is Locking in an Interest Rate? - Duration: 0:39.

Hi, I'm Melinda Payan, owner of The Truth About Lending a licensed mortgage company,

and here's today's mortgage truth of the week.

What does the term locking in an interest rate refer to?

This term refers to whether your interest rate is locked in at the rate that you chose,

or if your rate is floating.

Floating the rate means that your interest rate can go up or go down.

It's subject to whatever the bond market does.

The Truth About Lending - What is Owner Title Insurance? - Duration: 0:45.

Hi, I'm Melinda Payan, owner of The Truth About Lending a licensed mortgage company,

and here's today's mortgage truth of the week.

What is owner's title insurance?

Owner's title insurance is an insurance policy that insures you as the new owner, that there

will be no other liens on title except the mortgage that you got.

A good example of this is if the prior owner had work done on the house that they didn't

pay, and that person who did the work comes to you and wants to be paid, your owner's

title insurance policy would protect you from that lien.

What Diana said to William on way to first day of school - and his cheeky remark - Duration: 2:20.

The first day of school is a huge occasion for any child, and it's exactly the same if you're a royal

But there are of course some big differences to that special day if you're high up the line of succession to the throne

While most kids get to deal with any last minute nerves in private, and only have to pose for a few photos for their proud family, the royal children are greeted with media photographers at the school gates

When Prince George started school just a few members of the press were invited, but for his dad it was a very different story and there was a huge group of snappers waiting

So when they were in the car driving to the school, Princess Diana gave him a quick talking to to prepare him for what was to come

Princes William and Harry's former bodyguard Ken Wharfe told Yahoo's Royal Box: "Diana said to him in the car, "when you get to school there are going to be lots of media and lots of photographers, you've got to behave yourself

You're going to get this for the rest of your life".  When they got out the car Prince William, accompanied by his mum and dad, he make a rather cheeky comment to the photographers snapping away

Ken added: "But William turned around and said something which was extraordinary

He said: "Don't like 'tographers."  This dislike for photographers continued into his adult life, and he fiercely protects the privacy of his children Prince George, Princess Charlotte and Prince Louis

The Duke and Duchess of Cambridge invited just a few photographers to Prince George's first day of school, which were then shared among the media

When the little royals started nursery, they took their own photos and released them

I Was Accused Of Being Racist But I Am Not - Duration: 3:27.

I was born in Germany and despite the amazing culture that comes with the country, there

can be some cons.

My family moved to America when I was 2 years old, and my Mom was absolutely thrilled about

it because you see she is a book nerd and she read all of these books about all of these

people and places in America.

And she wanted to visit every state.

But we settled and Atlanta Georgia and we thought that was good enough for us.

And she was even more excited when my little brother was born when I was four because we

finally had a complete family and a place where we want to spend the rest of our lives.

I think it was in fourth grade when racism really started to hit our school.

I was in a Christian private school and I was actually quite surprised because the creator

created everyone equal in this was a Christian school.

And I just so shocked that people would be racist.

Racism is probably one of the worst things that is in our modern world today.

I wasn't bullied because of my skin color or culture.

No, I was bullied because people thought I was racist.

I am German as I mentioned before and Germany does not exactly have the best past on equality.

People thought I was friends with the people from the bad past of Germany or something.

And I was so shocked because I never even heard of those things.

I went home one day and I asked my family who these bad people were in German that I

didn't not know about.

You see I was born in a future Germany, a Germany that believed in equality. A Germany with

amazing people and places to visit. Not this past Germany that everyone was mentioning to me

The not-so-nice Germany. That's what people saw in me, They thought I was one of those Germans

And that was really hurtful to me.

One day my Dad asked me what was going on at school, why I kept asking him who these

bad Germans were and why I was suddenly so interested in the past or as I said earlier

not so nice Germany.

So I told him the truth how everyone was teasing me for being racist even though I wasn't.

My dad's was kind of shocked because he didn't really think that just because I was German

people think I was racist.

So that weekend, we went to the Principal's office when none of the students were there.

And we told her what was going on and the crazy part...she actually set up a whole

assembly about equality and that no one should be judged for anything.

You have to get to know someone.

And that assembly brought me to tears because she basically took the words out of my mouth.

And today, I actually have lots of friends that are mix of cultures and yes I still get teased

for being German but that's okay because I know who I am and I am not racist.

Was this what you wanted???? [2Days&1Night Season 3/2018.08.12] - Duration: 12:17.

Let's do this.

Good luck to you all. I love you.

Defconn, I really love you.

- We'll see to that. / - What?

Sejin, let's do this.

(I will win this time.)

(Spinning the wheel)

Spin it.

Stop.

(What will be the game for Round 4?)

(Pickax)

(Round 4, Pickax)

Pickax.

How does it land on a different game each time?

We didn't have to re-spin the wheel even once.

Since there are three of you,

one will head straight into the finals.

Ready or not, rock-paper-scissors.

(They play rock-paper-scissors.)

(Youngbae heads to the finals.)

Are you in the finals? We only need one win.

It really hurts, so no one can do it twice.

- How is this game played? / - Why is it Tiger JK?

You've been constantly in his way today!

He keeps losing to you.

He's such a huge celebrity

that I find him intimidating.

Let's do this.

(Are you kidding me?)

Let's say that I'm you,

and it's your turn to strike.

This is how it's done.

You win if he cries out in pain.

- If he cries out? / - We'll time you both.

You must endure it for about a minute.

(One minute?)

(Nervous)

- Will you give me your number? / - Sure.

(Sejin's focus is on other things.)

(Why aren't you thinking about winning?)

Get ready.

- Here we go. / - Let's go.

(Friendly chatting)

Where's your attention at?

- Good luck! / - Good luck to you both!

(Their attitudes quickly shift.)

- Good luck. / - Let's go.

Don't injure yourselves.

Be healthy.

What?

What are you saying?

- I'm sorry. / - Are you serious?

I'm sorry.

- I'm sorry. / - What's with you?

I'm sorry.

Ready, go.

(Sejin strikes first.)

You must endure the pain.

Don't be stubborn, though.

Hold on.

You can yell if it hurts.

- Look at him. / - You can.

Can I?

I don't think he's in pain.

(Something's not right.)

It doesn't hurt.

- What? / - Press down harder.

I'm pressing down with my whole weight.

(Is this enough?)

- Wait... / - Okay, good.

(Relaxed)

(What have I been doing?)

He cried even though he's not in pain.

(He ended the game after earning enough time.)

Of course it hurts. I bet it did.

- We need to talk. / - Sejin meant it.

- Gosh. / - 27.34 seconds.

- That's a lot. / - 27 seconds?

- That's enough to... / - He can win the whole round.

You will endure the pain.

Imagine that your leg is made of steel.

(He's worried.)

(We won't go down without a fight.)

I don't think he'll feel any pain.

(Things get serious.)

- Get ready. / - Sejin, endure it.

- It's all in your soul. / - That's absurd.

And go.

(That hurts!)

What?

(That fast?)

(Sejin is immediately knocked out of the round.)

Are you kidding me?

- I apologize. / - How could you do this?

I'm sorry.

- I apologize. / - Is he really sulking?

He's sulking for real.

(Fishing is becoming his reality.)

(I'm glad to have lost to you.)

Now it's time for the final round.

Ko Youngbae versus Tiger JK.

You better watch it.

Do you see how much pain he's in?

Look at him.

Find a spot

and press down hard.

(Joonyoung coaches his friend.)

Move around.

(Youngbae learned how to play the game.)

(Will he be able to utilize his training?)

Get ready.

And go.

He means business.

He's pressing down with all his might.

(The elbow is shoved in like a pickax.)

Cry out loud if it hurts.

(He immediately lets out a cry.)

(That almost killed me.)

You're unbelievable.

(Tiger JK is down.)

Hold on.

My gosh.

(It's an emergency.)

Bring in a stretcher!

We need a stretcher.

- What? / - Where is it?

- What's going on? / - Bring one in!

- Let me see. / - Bring one in!

(The Godfather of hip-hop ruins his image.)

If we lose, we're taking Youngbae.

- That was quite harsh. / - Sorry?

He even clenched his jaw.

(Brian tattles with a replay.)

Your name will prove its worth today.

All right.

(Don't you think about walking out of here.)

- What was his record? / - 7.11 seconds.

7.11?

Hang in there for 10 seconds.

Get ready.

(A war seems imminent.)

This is going to be good.

(His expression changes rapidly.)

- Get ready. / - No, wait!

(Wait!)

- Not yet, Tiger JK. / - It's just to get ready.

Seriously?

He already started digging.

My muscles almost ripped in half.

(He's angry that he started without a warning.)

He ripped my muscles before the game started.

I apologize on his behalf.

How could he?

- Come on! / - It was a false start.

- You should've waited. / - My hearing's not good.

- It hadn't started yet. / - I thought it did!

He can't hear properly.

You can put forth your other leg.

- What other leg? / - Your other leg.

Are you being generous?

That leg is probably already hurting.

But...

(Tiger JK warms up again.)

Okay.

(Is he serious?)

- Gosh. / - He was warming up.

(Get ready for the pickax.)

This is how it'll be done.

Goodness.

And go!

(I must endure it.)

He's getting red in the face.

Your daughter is watching.

Your daughter is cheering you on.

Think of your daughter.

Think of her.

Has he fainted?

(Screaming)

(He won.)

Your record is 16.39 seconds.

Don't you think he got too angry with you earlier?

He yelled at you.

Let's take him with us. He needs to learn his lesson.

You did great. How's your leg?

- Are you all right? / - Thank you for coming.

We appreciate your support.

Thank you.

It's so nice of you.

- Did you see Youngbae? / - He was a bit harsh.

- Right? / - He clenched his jaw.

He just desperately wanted a win today.

Why must it be Tiger JK?

(No one's as annoyed as Junho right now.)

How do you expect Sejin to beat him?

(Will Sejin falter again in front of Tiger JK?)

We only have one game left.

It's Hot Sweet Potato.

Right.

Can we see just how hot they are?

Bring in the sweet potatoes.

Is that it?

Goodness.

They're really hot.

All of it?

How can one eat the whole thing?

It's hot.

- It's hot. / - Is this for real?

- It's hot. / - Gosh, it's on fire!

Are you kidding me?

Let's do this before they cool down.

Get ready.

You win when you whistle after finishing one off.

Good luck and be careful.

Stay healthy!

He's so annoying.

I find him annoying too.

I apologize on his behalf.

- Good luck. / - Right.

- Good luck, Tiger JK. / - You, too.

- It's the final round. / - Exactly.

We made it this far down the road.

(Are you kidding me?)

- And go. / - Remember to cool it.

- Go ahead. / - It looks tasty.

(They're hard to even peel.)

- It's hot. / - It must be hot.

- They're hot. / - Be careful.

He's peeling off the skin first.

- They must be hot. / - Don't rush it.

(Ugly Face Alert)

Good. That's a nice speed.

Forget about your teeth.

You can be a comedian with just your gums.

(Forcing it down)

Eat it all.

- Over here. / - It looks hot.

Sejin's faster.

(Automatic Cooling System)

Gosh.

- It smells. / - My gosh.

I don't think that helped.

The sweet potato tastes like garlic.

I'm sorry.

You could still get on the boat,

so eat up when you can.

He's quite fast.

(This expression looks familiar.)

Is it hot?

- Don't overdo it. / - It's all right.

(Grilled sweet potato)

(They played)

("Face Charades" earlier today.)

(This is the more realistic version.)

It's hot!

It's all right to burn yourself.

(The tiger isn't used to a vegetarian menu.)

- Look. / - Can you believe it?

- You're winning. / - He's in tears.

(I can't believe I'm eating next to him.)

(If only time would stop.)

No, you must finish it off.

- Go ahead. / - It's a close game.

(He's hesitant.)

Is Sejin letting Tiger JK catch up?

Eat. Keep eating.

Don't look at Junho.

He's only your partner for today anyway.

Right?

(Tiger JK picks up his speed.)

He could win.

They each have one bite left.

(Sejin only has to whistle now.)

All right.

(He lets out the sound of air.)

Come on.

What if he can't whistle?

He can.

My gosh.

(Tiger JK closes the gap.)

- Do it! / - I whistled.

(Who does the whistle belong to?)

- He did it. / - I whistled.

Tiger JK was first.

(They argue over the ownership of the whistle.)

- No. / - Hold on.

- It was yours. / - I whistled too.

- Check the audio file. / - I heard a faint sound.

I heard it too.

We'll check with the audio team.

I heard a faint sound.

(Strict and serious)

We checked the audio file.

The winner is...

(Who did the whistle belong to?)

(They're both nervous.)

It's Tiger JK!

It's Tiger JK!

Tiger JK.

(Junho and Sejin will fish.)

Did he win?

- He did it. / - He got it.

I made that sound.

- You'll lose. / - Are you already done?

(Junho has all the power.)

Golden Parachute | What is Golden Parachute? | Examples & Benefits - Duration: 13:15.

Hello everyone, welcome to the channel of Wall Street mojo friends today

We are going to discuss a too-tall on golden parachute as you can see over here

Marissa Mayer will make over a 44 million if Verizon fires, so

This was quoted in the Business Insider as you can see right in front of you the article is there

Okay, I'll just read it for you

Marissa Mayer become the subject of the widespread speculation for the reason other than her performance at E. How

ever since Verizon agreed to buy the Internet giant industry has been

Abuzz with the absorbant golden parachute that Marissa would be flying with in this case

The former decides to terminates as you can see the details of Marissa Mayer's cash equity benefits and total details

okay compared to the other the latest being the buzzer on the ExxonMobil Rex Tillerson who is likely to receive golden parachutes of

180 million dollar from the company in the event of his confirmation as president elect Donald Trump's secretary of the state

Merger is a major event in the corporate landscape and brings about a great deal of changes in all the companies involved

While some changes are forcing other remains ambiguous

however, what is interviewing is the fact that the changes flow across each level in the corporate structure and that and the Helms is not

Exception many a times high-ranking managers and executives lose the job in the process of merger

But what is interesting enough is to note that in fact, it's not the absolute loss for them

Usually the company's undergoing merger compensate the top-level executives with the astronomical amounts

And this is known as golden parachute

What is golden parachute see technically golden parachute is defined as a contract between the company and its top-level management

Which entails that the executives will be offered considerable benefit in case of the later is terminated as a result of the restructuring

Activity, this benefits usually include cash bonus stock options in retirement package medical benefits

And of course a handsome see valence fail

It is also used as a tool for entity core mechanism or poison pill to dissuade any potential merger

The quantum of benefits or the compensation promise most of the company might lead to many a quarter to change the takeover decision

Let's get into the flashback a history of the golden parachute the history of the golden parachute dates back in closer to 90 1961 when?

Charles become its first recipient. It is said that the Emmett's tug of war to push off the hoards huge

He was offered a generous golden parachute in case huge gain a control of the company and fired Tillinghast

However, the tide of the event was different and Charles jr. Continued in the company for 15 more EUR amusingly

he also never collected the parachute the name golden parachute is used to denote the soft in the safe landing of the

Terminated executive with monetary benefits way about the usual severe ins factors while this was isolated

Incident in the 60s it soon become a preferred way of compensating white-collar employees

Particularly, then in the late 70s hostile takeovers become the order of the day in 1980s and the US corporate landscape saw a surge in

The golden parachute as as for the Howard Business Review HBR by 1986 around 35% of the largest

2250 US corporations

had implemented a clause stating that their executives will be provided with cash payments along with the range of other benefits in case there is

A change in hands as you can see the rapid rise of the golden parachute

This is the graph in front of you in the 1980s

there was a stiff there's a complete stir-fries you can see the graph is continuously going up and up cumulative number of the contracts is

increasing like anything

The graph shows that there was a significant rise in the golden parachute contract in the ticket between 1980 and 1990

The cumulative number of the contract jacked up by around 75 to 300 earlier only small companies fell prey to hostile takeovers

However, the popularity of the junk bond market

Financing becomes comparatively easier and even large multinational fortune 500 companies become easy targets of hostile takeovers

During this period several companies included to the claws of golden parachutes in the employment contracts in an attempt to retain high qualified employees

This was considered a major element of the security by high level of executives before they took up the jobs in modular prawn industry

Needless to say it was defensive

Mechanism for also for the hostile takeover as it increased the cost of the take war considerably

This was the reported golden parachute payment as a percentage of the target equity

okay advisory formed like institutional shareholder ISS institutional shareholder services as revealed a

Trend that the condom of the golden parachute as a percentage of the targets equity value increases as the deal size becomes a smaller

So this graph shows that the size of the reported?

golden parachute payment as a percentage of the targets equity value for

25 largest deals announced between May 13 and eppley 14 and also includes 65 companies that enhance the compensation for the executives

Let's understand. What is a difference between golden parachute?

Goldenhair handshake and golden handcuff. These are the three things many times

There are very few terms being interchangeably used like golden parachute. One of them is called cold in here handshake

golden

Handshake is nothing. But an upgraded form of golden parachute the sea vlans package in the golden handshake is bit more generous than the later

Another minor variation is that golden handshake are offered to high-ranking executives who are dominated through dismissal

Corporate restructuring or even during the scheduled retirement this evarin's package for golden handshake includes cash equity and certain stock options

There can be other elements in Korean as well

I mean because which solely depends on the discretion of the companies another term used in the similar sense is golden handcuffs

while the golden

parachutes and golden

handshakes may have a high-level CEOs more inclined towards the exit to receive the hefty package is waiting for them golden handcuffs acts in the

opposite way the apt desert the Center for the

executives for leaving the company and joining the competitors

It is said that under the clause of golden handcuffs executed. You have to give back the bonuses and reward

receives if they leave before they stipulated period

Let's see. What are the benefits of this golden parachutes? See there are two perspective of evaluating the nuisance nuances of

Golden parachute one is from the company's perspective and other from the shareholders perspective

first of all

No company can function if there is a conflict of interest at the key management level while certain takeovers are hostile

Some of them can even be beneficial for the company's future and growth if the key personnel becomes insecure about their job

they may try to cause hindrances in the merger or takeover process on the other hand with golden parachute employees can be

Sick about their compensation and offer complete cooperation

the merger process the Mojo process

Once the terms of these severe ins packages laid out the exit of the white-collar executives become more cartel

Things go in accordance with a predetermined agreement and there is low bad blood

this also protects a company from being Melling by the key person in the event of the

Termination due to merger see the possibilities of the hostile takeovers are reduced with the clause of golden parachutes being included in the contract

The acquiring company might not find it appealing to shed such an expensive packet if it plans to oust or the key employees

Already in the control

Let's see the top 10 golden parachutes

As you can see this are the top 10 golden parachutes green resorts Simon Property Group

Maxon

discovery communication

oracle.com

Excess instruments and Lockheed Martin, you can see the amounts and the CEO names right over there the golden parachute

What are the some of the criticism and controversy is going on behind this see something seemingly?

So attractive cannot be cents controversies and criticism, isn't it?

I mean golden parachutes have been the favorite punching bag for many critics the groups particularly miffed with our

Shareholders and the other employees of the company few reasons why golden parachutes are usually opposed to our the Condor multi packages mammoth

Which leads other employees entitled to receive a generic civilians package to feel as deprived negated or less privileged?

So this kind of dissatisfaction among the existing emblems from a hindrances to smooth functioning of the company

Many a times the top level executives underperform or to do something unethical due to which they may end up losing the job

many companies offering the golden parachutes are silent on this aspect and

The clause ends up being an incentive to earning managers were terminated needless to say

Shareholders an employee will not will not feel good about it

example Tony Hayward the chief executive officer for British Petroleum was terminated due to his

Perceived lack of leadership during the infamous oil spill that tarnished his tenure

however, he is reported to have walked away with severe ins package of more than $1,000,000 and an

8-digit pension amount critics feel that it is responsible to the management to act in the best interest of the company if a white-collar

Executive loses his job because of the friendly merger

There is no need for the company to compensate them in addition of their already fed package

Another logic against the golden parachute is that if the acquirer has a deep pockets?

The compensation cost may be a tribal amount of him

hence

The idea of using golden parachute as anti take-home mechanism is rendered futile

shareholders in the particular are not too fond of golden parachutes because

Many of them are only opinion that it is unnecessary to waste no shareholders money

They feel that many CEOs were promised

hefty severe ins package will only be an

Armored buy it and not work for the long-term goals of the company whether or not their fears are genuine is difficult to conclude it

though in research people

we put title like golden parachutes and the wealth of shareholders by Luke and

It is stated that over the long term golden parachutes may be harmful for shareholders value those company which implement the golden parachute clause

Often low risk adjusted stock returns as compared to the counterparts in spite of the fact that the later are more likely to be acquired

The researchers explained that golden parachutes makes make acquisition like a cakewalk for CEO and they aren't afraid of being acquired therefore they are not

motivated enough for enhancing the shareholders value or not

I will tell you some of the regulations for golden parachute the ongoing opposition's have gained considerable momentum over the couple of years

so much so that the Congress has released the tax rules in move to discouraging rampant golden parachutes in

involving two general severe ins package addition in 2010

section 951 of dodd-frank Wall Street Reform and Consumer Act has also made it compulsory to obtain move votes of

advisory shareholders on all instance of the golden parachutes

Henceforth in 2011 SEC unwilled new clauses on the sale of the P would of golden parachute the say on pay would request

Investors to vote on the compensation to the top executives of the company

The CEO the CFO and at least three are the most highly compensated executives about the golden parachute

The SEC mended that the companies are required to comply with the golden parachute shareholders advisory Wharton disclosure

Requirement in proxy statement to approve a merger and acquisition similarly from initially filed on or after 25 April 2011

According to the consultancy peel Mir the data between 2011 2014 reveals that nearly around 5% the golden parachute votes gone

Garnered less than a majority support even though in most of the cases the shareholders were not opposed to the actual module

Concern shareholders are now taking a stand against the golden parachute. They do not deem appropriate

Tax force what I mean?

I want to see your tax perspective of golden parachute the Internal Revenue Code has three or

Component pertaining to the golden parachute as per Section two four for four thousand nine ninety nine of the IRS or twenty percent excise

Tax is imposed on additional to the normal income tax on the excess parachute payments while section two eighty G team

the payments under the golden parachute

Non-deductible to the company. This provisions are passed by the Congress as a part of the deficit reduction Act of 1984

Lastly the section 162 a of the Internal Revenue Code denies the tax deductibility of any compensation over and over

$1,000,000 unless the same is linked to the performance of the executive this way the

Underperforming high-ranking executive when compensated with hefty packages will come under the purview of this section

Let's make a final conclusion golden parachute is indeed an intriguing concept and the opinion continue to be divided on it

however

It has emerged as one of the most indispensable part of the CEOs compensation

Package while he Clause seems important to lure and retain immensely talented executives in the company

underlying ambiguity causes many to take undue advantage of this situation, even though many provisions have been adopted to curb the

Flattened misuse of the golden parachute. Unfortunately, they have not be able to realize to their full potential golden parachute is quite I mean

it's it's a bad thing and unpicked US and

corporations have been using various strategies to circumvent the provisions under Section four nine nine nine and

Section two 80 g of the Internal Revenue Code

The clause must mention in particular that the packet is intended only in the event of the hostile takeover

noticing Li

The misuse many companies have been tweaked the condition pertaining to the golden parachute while many have reduced the size of the package

Many have included ethics clause to exclude any errant CEOs from drawing the golden parachutes. Thank you
